Terms of Service

These Terms of Service ("Terms") govern your use of MindCal (the "Service"), operated by Keith Meyer ("we," "us," or "our"). By accessing or using MindCal, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
MindCal is an AI-powered life management platform that helps individuals and families manage their calendars, email, travel, shopping, contacts, and household cognitive load through a conversational AI interface. The Service integrates with third-party platforms (Google, Microsoft, Meta, travel providers, shopping affiliates) to provide a unified management experience.
2. Eligibility
You must be at least 16 years of age to use MindCal. By creating an account, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using MindCal on behalf of a household or family, you represent that you have authority to bind all household members who will use the Service.
3. Account Registration and Security
To use MindCal, you must create an account using a valid email address and password, or by signing in with Google. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
We implement two-factor authentication (2FA) via email verification for account security.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Use automated systems (bots, scrapers) to access the Service without our written permission
- Upload malicious code, viruses, or harmful content
- Harass, abuse, or harm others through the Service, including through delegated messages
- Misrepresent your identity or impersonate others through AI-generated communications
- Use the Service to send spam, unsolicited messages, or deceptive communications
- Circumvent any rate limits, usage quotas, or technical restrictions
5. Subscription and Billing
MindCal offers free and paid subscription tiers. Paid subscriptions are billed through Stripe. By subscribing to a paid plan, you agree to:
- Pay all applicable fees as described at the time of purchase
- Automatic renewal at the end of each billing period unless you cancel before renewal
- Provide accurate and complete billing information
You may cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.
6. Intellectual Property
The Service, including its design, code, AI models, branding, and documentation, is owned by us and protected by intellectual property laws. You retain ownership of all content you provide to MindCal (calendar events, contacts, messages, etc.). By using the Service, you grant us a limited, non-exclusive license to process your content solely to provide and improve the Service.
7. Third-Party Services
MindCal integrates with third-party services including Google, Microsoft, Meta, Stripe, travel booking providers, and shopping affiliate networks. Your use of these integrations is subject to the respective third party's terms of service and privacy policy. We are not responsible for the availability, accuracy, or practices of third-party services.
Affiliate links and product recommendations may generate commission revenue for MindCal. This does not affect the price you pay for products or services.
8. AI-Generated Content
MindCal uses artificial intelligence (powered by Anthropic's Claude) to generate responses, suggestions, reminders, and delegated messages. AI-generated content:
- May not always be accurate, complete, or appropriate — you should review important information before acting on it
- Should not be relied upon as professional advice (medical, legal, financial, etc.)
- May be sent on your behalf (delegated messages/reminders) only with your explicit approval through our human-in-the-loop system
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including content you send through delegated messaging features.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time from the Settings page. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any disputes.
14. Dispute Resolution
Before initiating any legal proceeding, you agree to first attempt to resolve disputes informally by contacting us at legal@mindcal.ai. We will attempt to resolve the dispute within 30 days. If informal resolution is unsuccessful, either party may pursue formal legal remedies in the courts of Ontario, Canada.
15. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and MindCal regarding the Service and supersede all prior agreements and understandings.
